On October 22, 2014, Fresenius Medical Care AG & Co. KGaA (the “Company”) issued an Investor News announcing its intention to sell $900 million aggregate principal amount of U.S. dollar-denominated senior unsecured notes (the “senior notes”).  A copy of the Investor News is filed as exhibit 99.1 to this Report. In connection with the offering of the senior notes, the Company updated certain of the information in its public filings.  Such updated information is being filed as Exhibit 99.2 to this report.
