Explanation of Responses:

1. Ms. Morfitt was granted 11,150 restricted shares of common stock by Mercer International Inc. ("Mercer") in connection with her role as a director of Mercer. These shares vest and become non-forfeitable on June 1, 2021, unless a change in control of Mercer occurs prior to such date, in which case such shares vest immediately upon the occurrence of such change in control.
