Item 8.01 Other Events.
On April 28, 2008, Safety Products Holdings, Inc. (the “Company”) issued a press release announcing receipt of majority of tenders and consents for its outstanding 113/4% Senior Pay in Kind Notes due 2012 in connection with its previously announced tender offer and consent solicitation (the “Offer”). The terms and conditions of the Offer are set forth in the Company’s Offer to Purchase and Consent Solicitation Statement dated April 14, 2008. A copy of the press release announcing the receipt of majority of tenders and consents is attached as Exhibit 99.1.
