1. Represents the withholding of shares to satisfy tax withholding obligation.

2. This represents an award of restricted stock units. Each unit represents a contingent right to receive one share of the company's common stock upon vesting. The restricted stock units vest as to 6.25% of the shares at the end of each three-month period after the vesting commencement date of April 10, 2022, subject the individual continuing to provide services to the company through the applicable vesting date.
