Item 1.01 Entry into a Material Definitive Agreement.
On January 23, 2024, Equitable Holdings, Inc. (the "Company") entered into a Reimbursement Agreement (the "Reimbursement Agreement") with the Subsidiary Account Parties party thereto and MUFG Bank, Ltd. (the "LC Issuer") as a letter of credit facility, pursuant to which the LC Issuer agreed to become an issuer of a letter of credit in a face amount equal to $200 million. The facility will be primarily used to support our life insurance business reinsured to EQ AZ Life Re in April 2018.
The foregoing description of the Reimbursement Agreement does not purport to be complete and is subject to, and is qualified in its entirety by, reference to the full text of the Reimbursement Agreement, which will be filed as an exhibit to the Company's Annual Report on Form 10-K for the year ended December 31, 2023.
