Explanation of Responses:

1. The reporting person acquired these securities on January 8, 2020 as consideration for the sale of substantially all of the assets of Push Holdings, Inc., the reporting person's wholly-owned subsidiary, to the issuer. The asset purchase agreement and escrow agreement provide that the reporting person will receive up to 7,142,857 additional shares of the issuer's common stock by meeting certain performance milestones, subject to offset to satisfy indemnification claims under the asset purchase agreement.
