Item 2.02. Results of Operations and Financial Condition.
On March 18, 2013, Magnum Hunter Resources Corporation (the “Company”) issued a press release announcing that, due to the reasons previously disclosed in the Company’s SEC filings and as further described in the press release, the filing of the Company’s Form 10-K for the year ended December 31, 2012 will be delayed beyond the extended due date of March 18, 2013. The press release also includes selected unaudited financial and operating data for the three months and twelve months ended December 31, 2012. A copy of the press release is furnished as part of this Current Report on Form 8-K as Exhibit 99.1.

The information contained in the press release, along with other matters, will be discussed by the Company on a conference call scheduled for 10:30 a.m. (Central Time), on March 18, 2013, as announced by the Company in the press release.
