ITEM 7.01 Regulation FD Disclosure.
On December 15, 2006, the Partnership issued a press release announcing that it has committed to build two extensions from its existing pipeline system to transport gas for producers operating in the Fayetteville Shale play in Arkansas. The press release is furnished as exhibit 99.1 to this Form 8-K. The information under Item 7.01 and in Exhibit 99.1 in this Current Report is being furnished and shall not be deemed “filed” for the purpose of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that Section.
