1. The Reporting Person was granted restricted stock units ("RSUs"), which represent a contingent right to receive one share of Class A Common Stock for each RSU. The RSUs are subject to a service-based vesting requirement, which shall be satisfied on the earlier of the one-year anniversary of June 29, 2021 or on the date of the next regular annual meeting of the Company's stockholders held following June 29, 2021, provided that the Reporting Person remains in continuous service through such vesting date.
