Explanation of Responses:

1. Represents the reporting individual's annual equity award for service on the Board of Directors which is paid in the form of restricted share units and includes 26.9524 unreported additioanl share units that have been credited as dividend equivalents at $63.08 per restricted share unit on the individual's deferred restricted share units under the Company's Key Executive Stock Deferral Plan.

2. The option shall vest and become exercisable in full onor after the earlier of (i) the first anniversary of the Grant Date, or (ii) the date that the next annual meeting of the stockholders of the Company is concluded.
