ITEM 1.02 TERMINATION OF A MATERIAL DEFINITIVE AGREEMENT
On January 6, 2009, the Company was notified (the “Notice’) by Avante Holding Group, Inc (hereinafter “Avante”) that Avante was terminating its two agreements with the Company for contractual deficiencies.
ITEM 5.02. CHANGE OF OFFICER AND CHANGE OF DIRECTOR.
Michael W. Hawkins, the Chief Executive Officer of Avante, resigned as the Company’s Interim Chief Financial Officer.
