Explanation of Responses:

1. Restricted stock units convert into common stock on a one-for-one basis.

2. Each restricted stock unit represents a contingent right to receive one share of ManTech International Corporation common stock.

3. The restricted stock units (RSUs) were granted on March 15, 2021, with one-third of the total grant vesting on March 15, 2022, one-third of the total grant vesting on March 15, 2023, and the remaining one-third vesting on March 15, 2024.

4. The restricted stock units (RSUs) were granted on March 15, 2021. One half of the RSUs vest on the fourth anniversary of the grant date (March 15, 2025), and the remaining half of the RSUs vest on the fifth anniversary of the grant date (March 15, 2026).

5. On March 15, 2018, the reporting person was granted 12,000 RSUs, vesting in three annual installments, beginning on the first anniversary of the grant date.

6. On March 15, 2019, the reporting person was granted 17,400 RSUs, vesting in three annual installments, beginning on the first anniversary of the grant date.

7. On March 15, 2020, the reporting person was granted 57,310 RSUs, vesting in three annual installments, beginning on the first anniversary of the grant date.
