Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive 1 share of the issuer's Class A Common Stock upon vest.

2. The RSU vests as follows: 25% of the shares vest on September 11, 2015, 25% of the shares vest on December 11, 2015, 25% of the shares vest on March 11, 2016 and 25% of the shares vest on the earlier of June 10, 2016 or the date of the Issuer's next annual meeting, subject to continued service to the Issuer through each vesting date.
