The Registrant is unable to file its Form 10-K for year ended June 30, 2011 in a timely manner because the compilation, dissemination and review of the information required to be presented in the Form 10-K has imposed time constraints on the Company that have rendered timely filing of the Form 10-K impracticable without undue hardship and expense to the Registrant.

Subsequent Event to the year ended June 30, 2012:
On August 29, 2012, typhoon “Bolaven” landed and caused a disaster in Mudanjiang, HeiLongJiang Province of china. Because of the strong winds and flooding, many plants, houses and roads were destroyed. Our ginseng production base, Yanbian Huaxia– Mudanjiang Branch was damaged, including: 50,000 square meters of ginseng planted in 2006 and 60,719 square meters of ginseng planted in 2007, a total 110,719 square meters destroyed, resulting in a loss of RMB 6,754,700 (USD $1,050,000). This loss will be charged to operations during the first quarter of 2013. Management is presently unable to ascertain the impact this will have on future operations..
