National Mentor Holdings, Inc. Announces Third Quarter 2008 Results
BOSTON, Massachusetts, August 14, 2008 – National Mentor Holdings, Inc. (the “Company”) today announced its financial results for the third quarter ended June 30, 2008.
Third Quarter Results
Revenues for the quarter ended June 30, 2008 were $242.9 million, an increase of $13.8 million, or 6.0%, over revenues for the quarter ended June 30, 2007. Approximately $10.9 million of this increase was due to growth in our existing programs and approximately $2.8 million of this increase was due to revenues derived from new programs that began operations during the last two quarters of the fiscal year ended September 30, 2007 (“fiscal 2007”) and the first three quarters of the fiscal year ended September 30, 2008 (“fiscal 2008”).
Income from operations for the quarter ended June 30, 2008 was $12.0 million, an increase of $0.3 million as compared to income from operations for the quarter ended June 30, 2007. The operating margin was 4.9% for the quarter ended June 30, 2008, a decrease from 5.1% for the quarter ended June 30, 2007.
Net loss for the quarter ended June 30, 2008 was $2.0 million compared to net loss of $45 thousand for the quarter ended June 30, 2007.
Adjusted EBITDA(1) for the quarter ended June 30, 2008 was $25.8 million, an increase of $0.7 million, or 2.8%, as compared to Adjusted EBITDA for the quarter ended June 30, 2007. Adjusted EBITDA was negatively impacted by increased investments in growth initiatives.
(1) Adjusted EBITDA is a non-GAAP financial performance measure used by management, which is net income (loss) before interest expense and interest income, income taxes, depreciation and amortization, and certain non-operating expenses. A reconciliation of Adjusted EBITDA to net (loss) income is provided on page 5.
Year-to-Date Results
Revenues for the nine months ended June 30, 2008 were $720.5 million, an increase of $43.9 million, or 6.5%, over revenues for the nine months ended June 30, 2007. Approximately $2.9 million of this increase relates to acquisitions that closed during fiscal 2007. Excluding the revenue growth from these acquisitions, revenues increased $41.0 million, or 6.1%. Approximately $32.8 million of this increase was due to growth in our existing programs. The remaining increase of $8.2 million was derived from new programs that began operations during fiscal 2007 and fiscal 2008.
Income from operations for the nine months ended June 30, 2008 was $35.5 million, a decrease of $3.3 million as compared to income from operations for the nine months ended June 30, 2007. The operating margin was 4.9% for the nine months ended June 30, 2008, a decrease from 5.7% for the nine months ended June 30, 2007.
Net loss for the nine months ended June 30, 2008 was $3.7 million compared to net income of $0.4 million for the nine months ended June 30, 2007.
Adjusted EBITDA for the nine months ended June 30, 2008 was $75.7 million, a decrease of $1.6 million, or 2.0%, as compared to Adjusted EBITDA for the nine months ended June 30, 2007. Adjusted EBITDA was negatively impacted by the ongoing effects of a change in reimbursement policy affecting the Company’s business in North Carolina beginning in the third quarter of fiscal 2007. In addition, increased investments by the Company in new program starts and other growth initiatives during the period significantly increased expenses, further reducing Adjusted EBITDA.

From time to time, the Company may make forward-looking statements in its public disclosures. The forward-looking statements are based on estimates and assumptions made by management of the Company and are believed to be reasonable, although they are inherently uncertain and difficult to predict. This press release includes presentations of Adjusted EBITDA because it is the primary measure used by management to assess financial performance. Adjusted EBITDA represents net income (loss) before interest expense and interest income, income taxes, depreciation and amortization, and certain non-operating expenses. Reconciliations of net income (loss) to Adjusted EBITDA are presented within the tables below. Adjusted EBITDA does not represent and should not be considered an alternative to net income or cash flows from operations, as determined by accounting principles generally accepted in the United States, or GAAP. While Adjusted EBITDA is frequently used as a measure of financial performance and the ability to meet debt service requirements, it is not necessarily comparable to other similarly titled captions of other companies due to potential inconsistencies in the method of calculation.
