Explanation of Responses:

1. Shares of common stock surrendered to the Company to satisfy the withholding taxes relating to previously granted restricted stock units that vested on June 3, 2019.

2. Includes 19,400 restricted stock units and 1,849 dividend equivalent units on the restricted stock units. The restricted stock units and the dividend equivalent units vest on the fifth anniversary of the award date, however, payment will be delayed until termination of service if the individual is a covered employee under Code Section 162(m) on the date of vesting.
