Item 1.01 Entry into a Material Definitive Agreement.
Molecular Insight Pharmaceuticals, Inc.’s Amended and Restated 2006 Equity Incentive Plan (the “2006 Plan”) was approved by the shareholders of the Company in August 2006 and became effective on February 2, 2007. The 2006 Plan was filed as Exhibit 10.19 to the Company’s Registration Statement on Form S-1 (Registration No. 333-129570), as amended.
On May 21, 2008, the Compensation Committee of the Board of Directors of the Company approved the form of Restricted Stock Award agreement for use under the 2006 Plan. The Company intends to use this form from time to time in connection with granting of restricted stock awards to officers, directors and certain employees.
Form of Restricted Stock Award agreement is filed as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated herein by reference.
