ITEM 2.03 CREATION OF A DIRECT FINANCIAL OBLIGATION OR AN OBLIGATION UNDER AN OFF-BALANCE SHEET ARRANGEMENT OF A REGISTRANT.
On April 30, 2015, Fuel Systems Solutions, Inc. (the “Company”), its subsidiary IMPCO Technologies, Inc. (“IMPCO”) and IMPCO Technologies B.V. entered into a Second Amendment (the “Second Amendment”) to the Committed Credit Facility Agreement with the New York Branch of Intesa SanPaolo S.p.A., which was initially entered into on July 10, 2009 and subsequently amended on April 30, 2014 (as amended by the Second Amendment, the “Credit Facility”). The Second Amendment increases the committed amount under the Credit Facility to $30 million and extends the stated maturity date to April 29, 2016. Except as amended by the Second Amendment, all other provisions of the Credit Facility remain unchanged.
The description of the Second Amendment set forth above is not complete and is qualified in its entirety by reference to the Second Amendment, which is attached as Exhibit 10.1 to this Current Report on Form 8-K.
