Explanation of Responses:

1. These shares are held directly by Dr. Machatha's spouse. Dr. Machatha disclaims beneficial ownership over these shares for purposes of Section 16 or for any other purposes.

2. The shares subject to this option shall vest over 4 years of service following January 8, 2016, with 25% vesting upon completion of 1 year of continuous service to the Issuer and the balance vesting in 36 equal monthly installments thereafter.

3. The shares subject to this option shall vest in equal monthly installments over the next 48 months of continuous service to the Issuer after January 1, 2017.

4. The shares subject to this option shall vest in equal monthly installments over the next 48 months of continuous service to the Issuer after January 1, 2018.

5. The shares subject to this option shall vest in equal monthly installments over the next 48 months of continuous service to the Issuer after January 1, 2019.

6. The shares subject to this option shall vest in equal monthly installments over the next 48 months of continuous service to the Issuer after January 1, 2020.
