Ladies and Gentlemen: The undersigned hereby tenders to Potter Acquisition Corporation (the “Offeror”), a Delaware corporation and wholly owned subsidiary of Oracle Systems Corporation, a Delaware corporation (“Parent”) and an indirect wholly owned subsidiary of Oracle Corporation, a Delaware corporation, upon the terms and subject to the conditions set forth in the Offer to Purchase dated April 25, 2006 (the “Offer to Purchase”), and the related Letter of Transmittal (which, together with any amendments and supplements thereto, collectively constitute the “Offer”), receipt of which is hereby acknowledged, shares of common stock, par value $0.001 per share (the “Shares”), of Portal Software, Inc., a Delaware corporation (the “Company”), pursuant to the guaranteed delivery procedure set forth in Section 3 of the Offer to Purchase. The Offer is being made in connection with the Agreement and Plan of Merger, dated April 11, 2006, among the Offeror, Parent and the Company (the “Merger Agreement”).
