ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE CONTRACT.
On November 20, 2009, Mobiform Software, Inc., a Delaware company (“Mobiform”), entered into a three (3) year agreement (the “License Agreement”) with GE Fanuc Intelligent Platforms, Inc. (“GE”) , a subsidiary of General Electric Company, to utilize a portion of Mobiform’s proprietary technology. GE has agreed to pay Mobiform a per unit royalty, with a minimum of $270,000 per year for the three year term of the agreement. Mobiform has also agreed to perform consulting services, for which it will be compensated separately based upon the work done.
