On behalf of General Finance Corporation, a Delaware corporation, the undersigned hereby requests that the Securities and Exchange Commission issue an order declaring the above-referenced Registration Statement effective at 9:00 a.m., Washington, D.C. time, on Wednesday, April 5, 2006, or as soon thereafter as is practicable. On behalf of General Finance Corporation, the undersigned also hereby requests that the Securities and Exchange Commission withdraw the acceleration request that is set forth in the company’s letter dated March 31, 2006.

1. Should the Commission or the staff, acting pursuant to delegated authority, declare the Registration Statement effective, that act will not foreclose the Commission from taking any action with respect to the filing;
