Explanation of Responses:

1. (1) For 50% of the award, 33.3% will vest on each of the first three anniversaries of the date of grant if still employed; and (2) For 50% of the award, 33.3% will vest based upon meeting Royal Wolf EBITDA targets established by the General Finance Corporation board of directors for fiscal years 2020, 2021 and 2022 if still employed.
