Explanation of Responses:

1. The Reporting Person was granted 300,000 shares of restricted common stock on January 7, 2021 under the 2020 Digital Ally, Inc. Stock Option and Restricted Stock Plan. These restricted shares vest 50% on January 6, 2022 and 50% on January 6, 2023, contingent upon the Reporting Person remaining as an employee at such point in time.
