Explanation of Responses:

1. Disposed of pursuant to merger agreement between Issuer and OceanFirst Financial Corp. ("OceanFirst"), pursuant to which each outstanding share of Issuer's common stock was converted into the right to receive $5.375 in cash and 0.6663 shares of OceanFirst's common stock.

2. This option was cancelled with the merger in exchange for a cash payment equal to the number of options multiplied by the difference between $______ and the exercise price of the option.
