Registration statements on Form S-8 (File Nos. 333-139952 and 333-159527) were filed with the Securities and Exchange Commission on January 12, 2007 and May 28, 2009, respectively, covering the registration of an aggregate of 1,800,000 shares previously authorized for issuance under the registrant’s Amended and Restated 2005 Stock Incentive Plan (the “2005 Plan”). Pursuant to Rule 429 and General Instruction E of Form S-8, this registration statement is being filed to register an additional 600,000 shares authorized under the 2005 Plan. This registration statement should also be considered a post-effective amendment to the prior registration statements. The contents of the aforementioned registration statements are incorporated herein by reference.

As permitted by the rules of the Securities and Exchange Commission, this registration statement omits the information specified in Part I of Form S-8. Under the registrant’s articles of incorporation and bylaws, the registrant is required to indemnify and hold harmless, to the fullest extent permitted by law, each person (a “Covered Person”) who was or is made or is threatened to be made a party or is otherwise involved in any action, suit or proceeding, whether civil, criminal, administrative or investigative (a “Proceeding”), by reason of the fact that he or she, or a person for whom he or she is the legal representative, is or was a director or officer of the registrant or, while a director or officer of the registrant, is or was serving at the registrant’s request as a director, officer, employee or agent of another corporation or of a partnership, joint venture, trust, enterprise or nonprofit entity, including service with respect to employee benefit plans, against all liability and loss suffered and expenses (including attorneys’ fees) reasonably incurred by such Covered Person. Notwithstanding the preceding sentence, except as otherwise provided in the articles of incorporation or bylaws, the registrant is required to indemnify a Covered Person in connection with a Proceeding (or part thereof) commenced by such Covered Person only if the commencement of such Proceeding (or part thereof) by the Covered Person was authorized by the registrant’s Board of Directors.
In addition, except as otherwise provided under Nevada law, Section 78.138 of the Nevada Revised Statutes provides that a director or officer is not individually liable to the registrant or to the registrant’s stockholders or creditors for damages as a result of any act or failure to act in his or her capacity as a director or officer unless it is proven that: (a) the director’s or officer’s act or failure to act constituted a breach of his or her fiduciary duties as a director or officer, and (b) the breach of those duties involved intentional misconduct, fraud or a knowing violation of law. The effect of this provision is to restrict the registrant’s rights and the rights of its stockholders in derivative suits to recover damages against a director for breach of certain fiduciary duties as a director.
The registrant maintains insurance on behalf of its officers and directors, insuring them against liabilities that they may incur in such capacities or arising out of this status.
