1. The shares were received as compensation for Mr. Lewis' service as a member of the Board of Directors of the Issuer for the 1st quarter of fiscal year 2017, ending September 30, 2016, pursuant to the Issuer's previously disclosed outside director's equity compensation plan.

2. These common stock are beneficially owned by Lewis Asset Management Corp. Mr. Lewis is the portfolio manager and general partner of Lewis Asset Management Corp.
