Section 607.0850 of the Florida Business Corporation Act permits the registrant to indemnify any person who is, or is threatened to be made, a party to any threatened, pending or completed action, suit or proceeding, whether civil, criminal, administrative or investigative (other than an action by the registrant or in its right) by reason of the fact that the person is or was an officer or director or is or was serving our request as an officer or director. The indemnity may include expenses (including attorney’s fees), judgments, fines and amounts paid in settlement actually and reasonably incurred by the person in connection with the action, suit or proceeding, provided that he acted in good faith and in a manner he reasonably believed to be in or not opposed to our best interests, and, with respect to any criminal action or proceeding, had no reasonable cause to believe his conduct was unlawful. The registrant may indemn ify officers and directors in an action by the registrant or in its right under the same conditions, except that no indemnification is permitted without judicial approval if the officer or director is adjudged to be liable to the registrant. Where an officer or director is successful on the merits or otherwise in the defense of any action referred to above, the registrant must indemnify him against the expenses which he actually and reasonably incurred.
The registrant’s Certificate of Incorporation states that the registrant shall indemnify its directors and officers to the full extent permitted by applicable law.

The registrant’s bylaws provide that each director or officer of the registrant, whether or not then in office shall be indemnified by it against all costs and expenses reasonably incurred by or imposed upon such director or officer in connection with or arising out of any claim, demand, action, suit or proceeding, whether civil, criminal, administrative or investigative, in which he or it may be involved or to which he or it may be made a party by reason of his or its being or having been a director or officer of the registrant, said costs and expenses to include (without limitation) attorneys’ fees and the costs of reasonable settlement made with a view to curtailment of costs of litigation, if such director, officer or legal counsel acted in good faith and in a manner he or it reasonably believed to be in, or not opposed to, the best interests of the registrant and, with respect to any criminal action or proceeding, h ad no reasonable cause to believe his or its conduct was unlawful. Such right of indemnification shall not beexclusive of any other rights to which the indemnified person may be entitled, pursuant to other agreements, or as a matter of law, and shall inure to the benefit of the heirs, successors, personal representatives, executors and administrators of any such director or officer.
