On April 30, 2015, the Company filed an amendment to its Certificate of Incorporation to increase its authorized capital stock from 975,000,000 shares to 1,975,000,000 shares, consisting of 1,970,000,000 shares of common stock, par value $0.01 per share, and 5,000,000 shares of preferred stock, par value $0.01 per share. A copy of the Amended and Restated Certificate of Incorporation is attached as Exhibit 3.1 hereto and incorporated herein by reference
