On June 20, 2014, Landmark Apartment Trust of America, Inc. (the “Company”) issued a letter to its stockholders (the “Stockholder Letter”) in response to a mini-tender offer by MacKenzie Realty Capital, Inc. to purchase up to 250,000, or approximately 1.0%, of the Company’s outstanding shares of common stock. A copy of the Stockholder Letter, which is hereby incorporated into this filing in its entirety, is attached to this Current Report on Form 8-K as Exhibit 99.1.
