Item 7.01 Regulation FD Disclosure.
On February 26, 2007, we issued a press release announcing an increase in our distribution rate to 7% per annum and the current status of our public offering. A copy of the press release, which is hereby incorporated into this filing in its entirety, is attached to this Current Report on Form 8-K as Exhibit No. 99.1

Item 8.01 Other Events.
On February 22, 2007, at a meeting of the Board of Directors of NNN Apartment REIT, Inc., our Board of Directors approved an increase in the distribution rate to 7% per annum paid monthly to stockholders of record beginning with the March 2007 monthly distribution which will be paid in April 2007.
