(b) Resignation of Director
On November 14, 2008, the Company was informed that Stuart Katz would resign from the board of directors of the Company, effective November 28, 2008. The Board and management of the Company are disappointed to learn of Stuart Katz's resignation from the Board. Validus is grateful for his many contributions to the firm and wish him the very best in the years ahead.
