Explanation of Responses:

1. Quarterly award of shares elected in lieu of cash retainer of $22,500 for services as a member of the Board Directors and granted pursuant to the Alight, Inc. 2021 Omnibus Incentive Plan. The number of shares granted was calculated by dividing the cash retainer by $7.33, the closing price of the issuer's ordinary shares on September 30, 2022 and rounding up to the next whole share.

2. Includes shares of Class A common stock that are subject to certain transfer, voting, vesting and other restrictions applicable to "Restricted Stock," as set forth in the issuer's 2021 Omnibus Incentive Plan.
