Explanation of Responses:

1. Stock Award approved by Compensation and Human Resources Committee in connection with a portion of 2020 long term incentive compensation, price column not applicable. Receipt of the shares was subject to satisfaction of total shareholder return criteria over the period compared to specified indices. The shares vest 50% on January 30, 2023, and 50% on January 28, 2024.

2. The shares vest 25% on each anniversary of the grant date of January 30, 2023, beginning with the first anniversary.

3. Stock Award approved by Compensation and Human Resources Committee in connection with a portion of 2023 long term incentive compensation, price column not applicable.

4. Option Award approved by Compensation and Human Resources Committee in connection with a portion of 2020 long term incentive compensation, price column not applicable. Receipt of the stock option was subject to satisfaction of total shareholder return criteria over the period compared to specified indices.

5. The option vests 50% on January 30, 2023, and 50% on January 30, 2024.
