Item 5.07 | Submission of Matters to a Vote of Security Holders. |
On July 14, 2022, Vyant Bio, Inc. (the “Company”) held its 2022 Annual Meeting of Stockholders (the “Annual Meeting”). The final results for each of the matters submitted to a vote of stockholders at the Annual Meeting, as set forth in the Company’s Definitive Proxy Statement, filed with the Securities and Exchange Commission on July 14, 2022 (the “Proxy Statement”), are as follows:
Proposal 1. Election of Directors.
The Company’s stockholders elected the individuals set forth below to serve on the Company’s board of directors (the “Board”) until the next annual meeting and until their successors have been duly elected and qualified. Proposal 5. Amendment to the Company’s Certificate of Incorporation to Grant the Board the Discretionary Authority to Effect a Reverse Stock Split.
The proposal to amend the Company’s certificate of incorporation, as amended, to authorize the Board in its discretion to effect a reverse stock split of our issued and outstanding shares of common stock, at a specific ratio, ranging from one-for-five (1:5) to one-for-fifteen (1:15), at any time prior to the one-year anniversary date of the Annual Meeting, with the timing and exact ratio to be determined by the Board if effected, was approved by the Company’s stockholders. Proposal 6. Grant of Discretionary Authority to the Company to Issue Shares of the Company’s Common Stock for Purposes of Compliance with Nasdaq Listing Rule 5635(d).
The proposal, for purposes of complying with Nasdaq Listing Rule 5635(d), to issue 20% or more of the Company’s issued and outstanding common stock from time to time at the Company’s discretion pursuant to the Company’s purchase agreement with Lincoln Park Capital Fund, LLC, dated March 28, 2022 (the “Purchase Agreement”), was approved by the Company’s stockholders.
