Item 1.01 Entry into a Material Definitive Agreement
On May 5, 2007, we entered into a Service Contract with Haynes Capital Corp. Slovakia, s.r.o. Under this agreement, we will pay Haynes $5,000.00 per month in exchange for Haynes: (a) publishing and distributing news releases concerning important events involving our business; (b) handling media relations and shareholder inquiries using a toll-free or North American phone number; and (c) using its partner network to increase investor awareness about us. The term of the agreement commences May 5, 2007 and terminates after 3 months. The agreement can be extended for additional terms of 1 month each if requested by us, and if any extension is made then the agreement may be terminated by either party providing 15 days advance written notice.
The Service Agreement between First Source Data, Inc. and Haynes Capital Corp. Slovakia, s.r.o. is filed as Exhibit 10.1 to this report, incorporated herewith.
