Mueller Water Products, Inc. Announces Pricing of $225 Million
of 8 3/4% Senior Notes Due 2020
ATLANTA - Mueller Water Products, Inc. (NYSE: MWA) today announced that it has priced the previously announced offering of $225 million aggregate principal amount of 8 3/4% senior notes due 2020 at an issue price of 98.37 percent of par. The Company intends to use the net proceeds from the offering of the notes, together with cash on hand and amounts to be borrowed under a new credit facility, to repay amounts outstanding under the Company’s existing credit facilities and to pay related fees and expenses. The Company expects closing to occur on or about August 26, 2010.
The notes will be offered only to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States to non-U.S. persons pursuant to Regulation S under the Securities Act. The notes have not been registered under the Securities Act, or the securities laws of any state or other jurisdiction, and may not be offered or sold in the United States without registration or an applicable exemption from the Securities Act.
