Furnished herewith as Exhibit 99.1 and incorporated by reference herein is the text of Restore Medical, Inc.’s (the “Company”) announcement regarding preliminary sales results for the first quarter ending March 31, 2008, as presented in a press release dated April 3, 2008.
Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On April 1, 2008, the Company received notice from The Nasdaq Stock Market (“Nasdaq”) that the Company currently does not comply with the minimum $10,000,000 stockholders’ equity requirement for continued listing on The Nasdaq Global Market set forth in Marketplace Rule 4450(a)(3). Nasdaq has requested the Company submit by April 16, 2008 a plan to achieve and sustain compliance with all Nasdaq Global Market listing requirements. The Company has determined to apply to transfer the listing of its common stock to The Nasdaq Capital Market.
