Item 8.01 Other Events.
On April 15, 2009, two of the registrant’s wholly owned companies, Eureka Healthcare and Rehabilitation Center, LLC, which operates Eureka Healthcare and Rehabilitation Center, and Skilled Healthcare, LLC, the Administrative Services provider for the center, were served with a search warrant that relates to an investigation of the Eureka Healthcare and Rehabilitation Center (the "Facility") by the California Attorney General’s Bureau of Medi-Cal Fraud & Elder Abuse (the "BMFEA"). The search warrant related to, among other things, records, property and information regarding certain enumerated patients of the Facility and covered the period from January 1, 2007 through the date of the search. The registrant is committed to working cooperatively with the BMFEA regarding this matter.
