Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On May 15, 2024, Jeffrey Painter announced his plans to retire from his position as Chief Executive Officer and President of Cardinal Ethanol, LLC (the "Company"). The effective date of Mr. Painter's retirement is expected to be on or before December 31, 2024. Until his retirement, Mr. Painter will continue to serve in his current role as the Company's Chief Executive Officer and President. Following his retirement, Mr. Painter will be available for a period of time in a consulting and transition capacity to ensure a smooth transition, if requested by the Company. Mr. Painter's plans to retire are for personal reasons and not the result of any disagreement with the Company on any matter relating to the Company's operations, finances, policies, or practices.
The Company is currently conducting a full internal and external search for Mr. Painter's successor.

On May 15, 2024, the Company announced the planned retirement of the Company's Chief Executive Officer and President, Jeffrey Painter, as discussed above.
