Theundersigned,beingthedirectorsofMAXSOUNDCORPORATION,acorporationoftheStateofDelaware("Corporation”,“Employer”or“Company”),doesherebyauthorizeandapprovetheactionssetforthinthefollowingresolutionswithouttheformalityofconveningameeting,anddoesherebyconsenttothefollowingactionofthisCorporation,which actions are herebydeemed effective as of the date hereof:

WHEREAS,pursuanttotheEmploymentAgreemententeredintobetweentheCompanyandPaulD.Myers(“Employee”),onNovember26,2012(the“Agreement”),theCompanyanditsBoardofDirectorsingoodfaithhavecarriedforwardtheTermsandRecitalsfoundtherewithin.

WHEREAS,inconnectionwiththeabovedetermination,theBoardofDirectorsdeemsittobeinthebestinterestoftheCorporationtoadopttheresolutionssetforthbelow:

NOW,THEREFORE,BEIT

RESOLVED,TheBoardofDirectorsdeemsitinthebestinterestsoftheCompanytorenewtheEmploymentAgreementwithPaulD.Myersforatwo-yearperiod,endingonNovember27,2016.Beitfurther

RESOLVED,thattheEmployeeshallcontinuetoreceive125,000sharesofcommonstockperquarter,anduponsuchissuance,suchsharesshallbevalidlyissued,fullypaidandnonassessable.Beitfurther

RESOLVED,TheCompanyshallbeobligatedtopaytheEmployeeasalaryof$10,000permonth(the“BaseSalary”),payableinaccordancewiththeEmployer’sregularpayrollprocedure.TheCompanyshallincreasetheEmployee’smonthlybasesalaryto$14,000permonthintheeventthattheCorporationreceives$1,000,000fromfundingorrevenuesinthe2015calendaryear.Beitfurther

RESOLVED,thattheproperofficersoftheCorporationbe,andeachofthemherebyis,empoweredtoapproveorauthorize,asthecasemaybe,suchfurtheractionandthepreparation,execution,anddeliveryofallsuchfurtherinstrumentsanddocumentsinthenameandonbehalfoftheCorporation,andtopayallsuchexpensesandtaxes,asin theirjudgmentshallbe necessary,proper,oradvisablein orderto carry outthe intentandaccomplish the purposes of the foregoing resolutions; and be itfurther

RESOLVED,thatasusedin theforegoing resolutions,theterm“theproperofficers”oftheCorporation shallmeantheChiefExecutiveOfficer,thePresident,andtheChiefFinancialOfficeroftheCorporation,andeachofthem,andwithrespecttomattersinvolvingonlycertification,attestationorcountersignatures,anySecretaryorAssistantSecretaryoftheCorporation;andthattheproperofficersoftheCorporationbe,andeachofthemactingaloneherebyis,authorizedandempowered,actinginthenameandonbehalfoftheCorporation,totakesuchactionandto executeand deliver allagreements, documents, andinstruments referredto expressly or generallyin the preceding resolutions, and anyamendments,supplements, ormodifications to any of suchagreements,documents, andinstruments; such actions,agreements,documents,instruments,amendments,supplements, andmodificationsshallbe in such form and substanceastheproperofficerexecutingthesamemay,inhisorhersolediscretion,deem tobeinthebestinterestof theCorporation in connectionwith or arising out of the actionscontemplated by the foregoing resolutions; and beit further
