| a. | The total ROYALTYFEEowedisbaseduponthenumberofLICENSEPRODUCTactivationinagivenmonthand ispayable30 business days aftertheend ofthepriorMonth(aka Net 30 paymentperiod). |
| b. | Theroyaltytermswilltake affectonlyafterLicenseewill beabletoevaluateandapproveaworkingdeviceor accessory with Max-DAPI installed init, Licenseewill send a writtenapprovalthat statesweapprovetheperformance ofthe API and weare proceeding withthe royaltyterms. |
| c. | Notwithstanding tothe termsstatedabovein 3a,LICENSEE willguarantee toLICENSOR aminimum totalof 150,000 cumulativeLICENSED PRODUCT installations, with a minimum total guaranteed value of $225,000USO over the fivequartersof theAgreement_LicenseewillpayLicensorroyaltee fee for licenceproduct activatedin the quarters to be confirmed after approvalfrom the Licenseeand as per the payment terms stated on Clause 3a.After the end of the 5 quarters,if the totalroyalty paidis lessthan the guaranteed value,theLicensee willpay the difference. |

LICENSE AGREEMENT
WHEREAS, LICENSORisaninnovatorinthefieldofaudiosignal processing systemsandhas developedapplications directed toimprovements andenhancementsin audio recording, playback,and othermediarelated areas;
WHEREAS, LICENSORdesirestolicensecertain ofitsIntellectual Propertyandknow-how,specifiedherein,toLICENSEEforuse with certain of LICENSEE'S products, specified herein; and
WHEREAS, LICENSEEisengagedinmanufacturingandsellinghardwaredevices(seeAppendix F-Licensed Devices).
WHEREAS,LICENSEErepresents thatithasanexistingmarketforthe hardwaredevicesidentified withLICENSOR'Strademarksandusing LICENSOR'Slicensed technology asprovidedherein;
WHEREAS,LICENSORiswilling tograntLICENSEE alicenseunderthetermsandconditions setforthinthisAgreement.
NOW,THEREFORE,LICENSORandLICENSEEagreeasfollows:
SECTION1-DEFINITIONS
1."LICENSORn meansMAXSOUNDCORPORATION,a
Delaware corporation,withitsprinciple placeofbusiness in Santa Monica, California, and its successors and assigns.
| 2. | "LICENSEE" meansanyentitysoidentifiedinthis Agreement. |
| 3. | "IntellectualProperty" meansallpatent,trademark,copyrightandtradesecretrightsrecognized bylawinconnectionwiththisAgreement. |
| 4. | "MAX-DAPI" meansanAPI(ApplicationProgrammingInterface)versionofLICENSOR'sIntellectualProperty protectedandprotectableand/orproprietaryaudioprocessing system that issuitable for useinappropriateplatforms with differentproducts, such as theLicensed Product,toachieveaudioimprovement and enhancement. |
| 5. | "MAX-D APISpecification"meansthespecificationsfortheMAX-DAPI,whichincludethe MAX-DAPIoperatingparameters as specified inAppendix B entitled"MAX-DAPI," and the "Specificationsfor MAXSOUND MAX-DAPI"as specified in AppendixC, ofthisAgreement. |
| 6. | "LicensedTrademark"means one ormoreofthefollowing: |
| 1. | containsoneMAX-DAUDIOPROCESSORAPI; |
| 2. | isdesignedtoprocesstheaudiochannelsfromthecontenteither storedon thedeviceor streamedinto thedevice,into MAX-D processedaudio whenrunningon asuitablehardwareplatformOS; |
| 3. | isused as anaudioprocessorinLICENSEE'sLicensed Devicethatis manufactured by the LICENSEE. |
Processors thatexecutetheMAX-DAPIinLicensedProductsmust becertifiedbyLICENSORas adequatetoperformtherequiredfunction. Therewillbe noLicensed Productavailable as a stand-alone software package.
| 8. | "Licensed Works"shallmeanalllicensed rightsownedbyLICENSOR, orownedbyothers towhich MAX SOUND hasa right to sublicense,whichmay be usedfor thedevelopment,design,manufacture, sale,orotheruse of Licensed Products. |
| 9. | "DerivativeWorks"-shallmeanany product,processesorotherworksderived from or based on any of the licensed Worksregardless of format or form. |
| 10. | "LICENSOR Deliverables"shallmeananyandallitems deliveredbyLICENSORtoLICENSEEwhich enableLICENSEE to design, test, andinstall ontolicensed Product(s),including: |
| a. | MAX-D APIaudioprocessorcodein"C++",ofthecurrentrevision, |
b. Documentation accompanyingsaidcode,
| 11. | "Know-How"meansIntellectualProperty protectedandprotectableinformation, aswellas skills,experience, andother know-how,recordedorunrecorded,accumulatedand ownedby LICENSOR,relatingtothe LicensedProducts, includingdesigns,drawings, reports, memoranda, blue-prints,specifications. |
| 12. | "SensitiveInformation"means Know-How,and proprietary businessinformationincluding marketinginformation, productplans, businessplans,royalty, and salesinformation,customerlists andthelike. |
| 13. | "LICENSOR's Trademarks"meansany tradename, logo,servicemarkortradedressusedand/orownedbyLICENSOR. |
| 14. | "RoyaltyFee" meansaroyaltyfeecorrespondingtothe MAX-Dprocessinstalledintoanysingle unitofa licensed Device thatismanufactured,used,leased, sold or otherwisedisposed of by LICENSEE. |

validation ofthis Agreement.

17."Territory"meansthe geographiclocation LICENSEEis grantedtherightswithinthis Agreement tosellLicensedProduct(s).For the purposes ofthis Agreement, the Territoryis: worldwide.
SECTION 2- LICENSESGRANTED
LICENSOR herebygrantsLICENSEE anindividualnon-transferable, indivisible andnon-exclusivelicense withinthe Territory as set forth inthisAgreement.
| 1) | LICENSEORhereby grantsLICENSEEtheright,toembed,upload,makeand/oruse,butnotmodify,the MAX-D APIaudioprocessorsource codeon LicensedDevices,for the sale of Licensed Productstoan ApprovedListofCustomersof LICENSEE'sODMservices(Appendix G), and end users(eitherdirectly or throughthirdpartydistributors),for such end users useof theMAX-D APIaudioprocessorinday to dayuse of theLicensedProducts. LICENSORfurther grantsLICENSEE the right, subjectto theterms andconditionsofthisAgreement,tomarket and promote the Intellectual Property anditsavailability onthe Licensed Products. |
| 2) | LICENSORfurthergrantsLICENSEE therighttodistributebutnotmodify,theLicensedDevicesinordertomakeavailabletotheir ApprovedCustomers,and end usersas the LicensedProduct(s). |
| a) | Tomarket,sell, distribute,maintain, andsupporttheDerivativeWorksinAPI formatonly. |
| b) | Notwithstandingthelicenses grantedabove, |
| i) | nolicenseisgrantedunderthis Agreementto lease,sell,transfer,orotherwisedisposeofany subsetorportionof a LicensedProduct,partiallyassembledproducts,productsinkit form, andknocked-down ("KO")orsemi-knocked-down("SKD") products.Notwithstanding,certainterritories,asprovidedin Appendix H(ApprovedSKD/KDMarkets) wouldrequirethesaleof said products toavert highertax implications; |
| ii) | no licenseisgrantedunderthisAgreement touseanyLicensed Trademarkin connection with offering forsaleorinadvertising and/orinformationalmaterialrelatingtoanyLicensed Productwhichis notmarked as providedin this Agreement; |
iii) nolicenseisgrantedunderthisAgreementwithrespecttotheuseof anyLicensedTrademark on or in connectionwith products otherthanLicensed Products;
| iv) | norightisgrantedwithrespecttoLICENSOR'sIntellectualProperty,except with respect tothe useof saidpropertyasprovidedin this Agreement on andinconnection withLicensedProducts; and |
(a) LICENSEEshall,publicallymarketthe LicensedProductssolongissaidmarketingisinfullcompliance with other termsandconditionsgrantedbyLICENSOR in thisAgreement.LICENSEEmayen·gage thirdpartiestomarket the LicensedProducts during theTerm,includingbutnot limitedto websitesowned, managed, or otherwise affiliatedwithLICENSEE.
(b) Ifrequested,LICENSEEshall consult withLICENSORinthedevelopment ofaplan formarketing theMAX-0 API AudioProcessortopotentialcustomer and/orend users. LICENSEE shall havetheright, in itssolediscretion,Productssolongissaidmarketingis infullcompliance with other termsandconditionsgranted by LICENSORin thisAgreement, toestablishandcreate,during the Term, multiple uniquebrandingor co-brandingofthe Licensed Products (such unique brandandco-brandednames,collectively, the "LICENSEEBrand Names ").
SECTION 3-OTHEROBLIGATIONSOFTHELICENSORANDLICENSEE
| 1. | LICENSEE'suseof theLICENSOR'SIntellectual PropertyrightsshallbesubjecttotheobligationsofthisAgreement as well asadditionalprovisions, which LICENSOR mayissuefromtimeto timesubjectto thefollowing procedure: |
| I) | LICENSORshallprovidereasonable advancenoticeofanyadditionalprovisionswhichLICENSOR desires to incorporate intothis Agreement; |
| II) | If LICENSEEdoesnotobject tosuchprovisionsinwriting within ten {10)daysofreceiptofsuchnotice,saidprovisionsshall beincorporatedinto this Agreementwithina reasonabletimeof receiptofnotice; |
111)IfLICENSEEnotifies USENSORthat LICENSEEobjectstoanyadditionalprovisionsthatLICENSORdesires toincorporate,the partiesshall negotiate ingoodfaith a mutuallyagreeablecompromise;
IV)In theeventthattheparties cannotmutuallyagreewithrespecttosuchadditional provisions, either party may terminatethis Agreement uponninety(90) dayspriorwrittennotice.
| 2. | LICENSEE shallcomplywiththerequirementsofthetermsofthisAgreementand,subjecttoSection3.1 above; such additionalprovisionsasLICENSORmayissuefromtimetotime, and shall,takeallcommerciallyreasonablemeasures, and subjecttoall applicablelaws, ensure that itssubsidiaries, agents,distributors, and dealersthroughout theworldcomplywithsuch requirements. |

| 4. | The markidentifiedinSection3,mayalsobeusedatleast onceinaprominent manner in alladvertisingandpromotions forsuchLicensedProduct;totheextent commerciallyreasonable, such usages shall be nolessprominent andinthesame relative size andproportion as the most prominent third party othertrademark(s) appearing on such LicensedProduct or inthe advertising andpromotion thereof. |
| 5. | LICENSEE maynotusetheLicensedTrademarksinadvertisingandpromotionofa productnot markedinaccordance withthe requirementsof this Section. |
| 6. | In everyinstanceofuse ofaLicensedTrademark,,except ontheexposedmaincontrolsurfaceofa Licensed Product, LICENSEEshallprovide publicnoticethat such Licensed Trademark is a trademarkby using the superscript letters"™"after therespective trademark, or,incase of aregisteredmark, byuseof the trademark registrationsymbol"®"(the capitalletterRenclosedin a circle) as asuperscriptafter therespective trademark.LICENSORshallinform LICENSEE as to which notice formis used. |
| 7. | LICENSEEshallusecommerciallyreasonableeffortstoensurethat theappropriatetrademarknotices,assetforthinthis Section,appear in advertising forsuch LicensedProducts at the retaillevel. |
| 8. | LICENSOR's ownershipofLicensedTrademarksshallbe prominently displayed andindicatedin eachinstanceofuse byLICENSEEonaLicensedProduct, ,onpromotional products andmaterials,includingbutnotlimitedto,instructions and advertising, by themostrelevant of the followingidentifications: |
| a. | "MAX-DisaRegisteredTrademark ofMAXSOUNDCORP.", |
| b. | "The LogoSymbolisaTrademarkofMAX-D", |
| c. | "MAX SOUNDand"MAX-D"areRegisteredTrademarksofMAXSOUNDCORP." |
| d. | "MAX-D,Audio PerfectedisaRegisteredTrademarkofMAXSOUNDCORP." |
| e. | OnLicensedProducts such wordsmaybe usedon:productpackaging,anexposed(frontcover)surface ofLicensed Product(s), the Boot-upScreen,Player App Pre-Screen, and/or at thebeginningand end of a MAX-D processedvideo. LICENSEE shalluse commercially reasonable |
common,descriptiveor genericdesignation.Whenever"MAX SOUND"or"MAX-D"isused,the lettersshallbeupper-case. "MAXSOUND" or "MAX- D" shall onlybe usedas an adjective referringto anaudioproduct andshallnot be used as a noun or inany otherusage, whichmay be associatedwith a generic use ofthe terms.Indescriptive,instructional,advertising,orpromotionalmaterial or mediarelating to Licensed Products,LICENSEE mustusethe LicensedTrademarksand expressions whichinclude theLicensedTrademark"MAX SOUND" or "MAX-D"is used,withan appropriategenericordescriptiveterm (e.g. "poweredby MAX SOUND", "MAX-DHD AUDIO",etc.), with reference to licensed Products andtheiruse.
| 11. | All usesoftheLicensed Trademarksaresubjectto reasonableapprovalbyLICENSOR. LICENSORreservesthe right to require LICENSEEtosubmit proposed uses to LICENSOR forwritten approval priortoactual use,provided that failure totimelyrespond to a submissionshall bedeemed approval.Uponrequest of LICENSOR, LICENSEE shall submit to LICENSOR samples of its own usageof the licensed Trademarks and usageof the Licensed Trademarks by its subsidiaries, agents, distributors, anddealers. |
| 12. | LicensedTrademarks shallbeusedinamannerthatappropriatelydistinguishesthem from other trademarks,service marks,symbols or trade names, includingLICENSEE'sTrade Name and Trademarks. |
| 13. | LICENSEEmayonlyusetheLicensedTrademarksonandinconnectionwithproductsthat meet LICENSOR'sreasonablequalitystandards. |
| 14. | LICENSEE maynotuse theLicensedTrademarkson andinconnection withproductsother than licensed Products. |
Ownership ofthe licensedTrademarks
| 15. | LICENSEEacknowledgesthevalidityandexclusiveownership byLICENSOR ofthe licensed Trademarks. |
| 16. | LICENSEEacknowledges thatitneitherownsnorclaimsanyrightsinthe licensedTrademarksandwill not file any applicationforregistration of theLicensedTrademarks,oranynames ormarks confusingly similartothe Licensed Trademarks, anywherein theworld. |
Section3.03-MaintenanceofTrademarkRights
efforts toensurethatsuchanacknowledgmentappearsonproductmarketingandinadvertisingattheretail level.
9.Licensed Trademarksshallalwaysbeused inaccordancewith allapplicablelawsandregulations pertaining to theiruse.
17.
The expenseofobtainingandmaintainingLicensedTrademarkregistrationsshallbebornebyLICENSOR.LICENSOR,asitdeems necessary,will advise LICENSEEof the grantofregistration of such trademarks. LICENSEE and LICENSOR will complywithall applicablelaws and requirementspertaining to the maintenanceof the LicensedTrademarks,including themarkingwithnotice ofregistration and therecording of LICENSEEasa registered or licensed user of such trademarks.

Trademark Enforcement
| 18. | LICENSEE shallimmediatelyinformLICENSORofallinfringements,potentialor actual,which itmaylearnof, of the LicensedTrademarks.It shallbetheexclusiveresponsibilityof LICENSOR, at its own expense, to terminate, compromise, or otherwise act at itsdiscretion with respect to suchinfringements. LICENSEE agrees toreasonablycooperate withLICENSORbyfurnishing, withoutcharge, except out-of-pocketexpenses, suchevidence,documents and testimony as mayberequiredtherein. THE Licensor will be liable forthe Licenseesloss of earnings and other damages, subject to Court ruling of theinfringement. |
Other-TrademarkPurchasers
| 19. Totheextentonlythattechnicalstandardization,equipment | or signal sourceinterchangeability,productidentification andusage of the Licensed Trademarksare affected, the following conditions shall applyifLICENSEE sells orleasesLicensed Products on a mass basis to an Other-Trademark Purchaser who doesnot hold alicense with terms andconditions substantially similarto this Agreement.LICENSEEshallinform LICENSOR of the name, place of business,trademarks,and trade names oftheOther-Trademark Purchaserbefore such Other- Trademark Purchaser sells,leases, or usesLicensedProducts.LICENSEEshallobtain agreement fromsuch Other-TrademarkPurchaser not to modify,install, use,lease, sell, provide written material foror about, advertise, or promote LicensedProductsin any waywhich isin conflict with any provision of this Agreement. Itshall be the responsibility of LICENSEEtoinform theOther-Trademark Purchaser oftheprovisions of this Agreement, to notifysuchOther- Trademark Purchaser that the provisions of thisAgreement shall beapplicable,through LICENSEE, in the same way asifthe LicensedProductswere sold byLICENSEE under LICENSEE's TradeNamesand Trademarks, toensurebyall reasonable means that such provisions are adheredto and, ifrequestedbyLICENSOR, to provide toLICENSOR samples on aloan basis oftheOther-Trademark Purchaser's embodimentof the LicensedProducts,aswell as copies of such Other- Trademark Purchaser's advertising, public announcements, literature,instructionmanuals, and thelike. |
CopyrightNotice
| 20. | As applicable,LICENSEEshallprovidethefollowingcopyrightnotice toallpublic distributions and disclosures of its LICENSE underthis Agreement. |
| 21. | On allLicensedProducts,THELICENSEEshall acknowledge thattheLicensedProductsaremanufactured underlicense fromLICENSOR.The following notice must be provided by LICENSEE on an exposed, visible surface,such astheback or the bottom, of all Licensed Products: "MAX-D HDAUDIO' under license from MAX SOUND". Such notice shall be used in all instruction and servicingmanuals. |
FurnishingofLicensorDeliverablesandKnow-How
| 22. | SubjecttoexportregulationsandprovisionsoftheUnitedStates governmentoranyotherapplicable domestic or foreignjurisdiction,LICENSOR willpromptly, following the Effective Date, furnish toLICENSEE: |
a.TheLicensor Deliverables,copiesofalldocumentsandthingsevidencingtheKnow-How;and
b.Uponrequestby LICENSEE,provide,asLICENSORdeemsreasonable,NRE(Non-RecurringEngineeringcosts) consultingservicesregardingdesignconsiderationsand generaladvice relating to theLicensed Products and thesaleand use thereof, forall of which LICENSEE willalsoreimburseLICENSORfor travel andreasonable perdiem expenses if applicable.
Use ofKnow-HowandSensitiveInformation
By LICENSEE
| 23. | LICENSEE shalluseallKnow-HowandSensitiveInformation solelyforthepurposeof manufacturingand selling LicensedProductsunderthis Agreement and shall not use suchinformationin an unauthorizedway, and shall notdivulge suchKnow-Howor SensitiveInformationor any portionthereof to third parties, unless such Know-How or SensitiveInformation(a) was known toLICENSEE priortoits obtaining the same from LICENSOR; (b) becomes knowntoLICENSEEfrom sources otherthaneither directlyor indirectly fromLICENSOR; or(c) becomes publicknowledgeother than bybreach of this Agreement by LICENSEE. |
| 24. | UponterminationofthisAgreement,withrespecttoKnow-HoworSensitiveInformation,LICENSEE shallpromptly return to LICENSOR,at LICENSEE's expense, all documentsand thingssuppliedtoLICENSEEasKnow-How,aswellas allcopiesand reproductions thereof. |

Overview
MAXDDSPconsistsofa singlestaticlibrarycompiled forthetargetplatformanddeliveredas abinary.The DSP isabletoprocess dual channelaudio.Thelibraryis writteninC++.Theinterface tothe DSP isprovidedthroughfunctions that can becalled fromeitherCorC++.
Usage

Buffer Format
Buffers mustbeprovided withinterleavedsamplesfromthe2channels.
