(b) On September 12, 2008, Olav B. Bergheim submitted his resignation as a member and Chairman of the Board of Directors (the “Board”) of Volcano Corporation (the “Company”), which such resignation is effective as of the close of business on January 1, 2009. Mr. Bergheim served in the class of directors whose term of office expires at the Company’s 2011 annual meeting of stockholders. Mr. Bergheim resignation from the Board is to enable him to focus on his venture investment activities, and was not the result of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
