Explanatory Note
This Amendment No. 2 to Current Report on Form 8-K/A amends the Current Report on Form 8-K/A No. 1 filed by NewCardio, Inc. (the “Company”) with the Securities and Exchange Commission on January 22, 2008 solely to correct the referenced date in the exhibit letter from Li & Company, PC, the former auditor of the Company.
