REALOGY CORPORATION PRICES SENIOR NOTES
Upsizes Offering to $1.2 Billion
PARSIPPANY, N.J. (Oct. 13, 2006)— Realogy Corporation (NYSE: H) today announced the pricing of its previously announced offering of senior notes. The aggregate principal amount of the notes has been increased to $1.2 billion from the previously announced $800 million, and will be comprised of three series: $250 million of floating rate senior notes due Oct. 20, 2009, $450 million of senior notes due Oct. 15, 2011 (the “five-year notes”), and $500 million of senior notes due Oct. 15, 2016 (the “ten-year notes”). The floating rate notes will have an interest rate equal to three-month LIBOR plus 0.70%; the five-year notes will have a fixed interest rate of 6.15%; and the ten-year notes will have a fixed interest rate of 6.50%. The notes will be unsecured obligations of Realogy and will rank equally in right of payment with all of Realogy’s other unsecured senior indebtedness. The offering of the notes is expected to close on or about Oct. 20, 2006.
Realogy intends to use the net proceeds from this offering to repay substantially all of the $1.225 billion principal amount outstanding under its existing interim term loan facility.
The notes are being offered in the United States to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended, and outside the United States pursuant to Regulation S under the Securities Act. The notes have not been registered under the Securities Act and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
