Explanation of Responses:

1. This amendment is being filed to reflect the Class B common stock in table II rather than table I.

2. As Co-Manager of the Sponsor, the Reporting Person may be deemed to have indirect beneficial ownership of the Issuer's Class B common stock held by the Sponsor. The Reporting Persons disclaims beneficial ownership except to the extent of her pecuniary interest therein.
