Explanation of Responses:

1. Represents a grant of restricted stock under the Company's 2012 Incentive Compensation Plan valued at $81,000, issued as part of annual director compensation and approved by the Board of Directors of the Company on July 14, 2020. The number of shares was determined based on a stock price of $9.91, the average of the high and low trading prices of the Company's common stock on June 8, 2020, the price used to determine the number of shares issued to the Company's senior management team as part of its compensation for the Company's 2020 fiscal year. The restricted stock will vest on February 27, 2021, the last day of the fiscal year of grant, provided that the director remains in office until the last day of the fiscal year.
