Explanation of Responses:

1. Securities acquired represent a grant of restricted stock units to the Reporting Person in connection with his hiring by the Company. Each restricted stock unit represents the right to receive one share of the Company's common stock, and will vest in three equal annual installments beginning on October 3, 2017, subject to the Reporting Person's continued employment by the Company on such dates.
