1. Represents partial compensation for services as a director of the Issuer for the board year commencing on April 1, 2020 and ending March 31, 2021. Provided the Reporting Person is a service provider to the Issuer at the time of vesting, the RSU's will vest in equal quarterly amounts on 6/30/20, 9/30/20, 12/31/20, and 3/31/21.
