Explanation of Responses:

1. The shares subject to this option shall vest and become exercisable in twelve equal quarterly installments over a three-year period with vesting commencing on May 11, 2025, subject to the Reporting Person's continuous service to the Issuer through each such vesting date.

2. Each Restricted Stock Unit ("RSU") represents a contingent right to receive one share of the Issuer's common stock.

3. The RSUs shall vest in three equal annual installments beginning on February 11, 2026, subject to the Reporting Person's continuous service to the Issuer through each such vesting date.
